STANTON WARRIORS
DJ PERFORMANCE BOOKING TERMS & CONDITIONS
Issued by Stanton Warriors Limited
Version 1.1 | Effective date: 20th Oct 2026
These Terms & Conditions ("Terms") govern the booking, promotion and presentation of DJ performances under the Stanton Warriors name, together with the use of the associated brands, intellectual property and commercial identities administered by Stanton Warriors Limited.
They apply to promoters, venues, festivals, event organisers, booking agents and other parties engaging Stanton Warriors for live DJ performances or seeking permission to use the associated brands ("Promoter").
1. CONTRACTING ENTITY
1.1. All official Stanton Warriors DJ performance bookings made under these Terms are contracted through Stanton Warriors Limited ("Company").
1.2. Stanton Warriors is the electronic music act founded by Mark Yardley and Dominic Butler.
1.3. Stanton Warriors Limited is the designated contracting and licensing entity for performances booked through the Company's official booking arrangements and for authorised commercial uses of its associated brands.
1.4. All performance fees, deposits, appearance fees, brand licensing fees and other contractual sums relating to such bookings shall be payable to Stanton Warriors Limited, unless the Company expressly authorises an alternative arrangement in writing.
1.5. No individual performer, representative, intermediary or third-party agent may vary the identity of the contracting party or direct payment to an alternative recipient without the Company's express written authorisation.
2. BOOKING AUTHORISATION AND CONFIRMATION
2.1. All booking enquiries should be directed through the Company's official booking channel:
2.2. A booking shall only be considered confirmed when:
a. The event details, performance fee and principal commercial terms have been agreed in writing;
b. The Company has issued written booking confirmation through an authorised representative;
c. Any required deposit has been received; and
d. These Terms have been accepted and incorporated into the booking agreement.
2.3. Verbal arrangements, provisional dates, social media correspondence and discussions with an individual performer do not, without authorised written confirmation, constitute a confirmed booking under these Terms.
2.4. Any person purporting to confirm a booking on the Company's behalf must have the appropriate authority to do so.
2.5. Bookings arranged through external agents remain subject to the Company's authorised confirmation procedures and any separately agreed agency arrangements.
3. INTELLECTUAL PROPERTY AND ASSOCIATED BRANDS
3.1. Stanton Warriors Limited is the entity designated to hold, administer and license the Stanton Warriors brand and the following associated commercial identities, including their respective names, wordmarks, logos, visual identities and recognised variations, to the extent owned or validly licensed to the Company.

D. REBEL BASS
The Rebel Bass record label and event brand, including:
The name REBEL BASS;
The Rebel Bass wordmark and associated logo marks;
Branding associated with Rebel Bass record label activities, releases and promotions;
Branding associated with Rebel Bass live events, club nights and related commercial activities.
3.2. The brands identified in Section 3.1 shall collectively be referred to throughout these Terms as the "Protected Brands".
3.3. The Protected Brands include their official logos, approved design variations, stylised wordmarks and associated brand artwork, subject in each case to the rights lawfully owned or controlled by the Company.
3.4. All intellectual-property rights in the Protected Brands are reserved to their respective lawful owners. Nothing in these Terms transfers ownership or grants rights beyond those the Company is entitled to license.
3.5. The Promoter acknowledges that permission to use any Protected Brand is limited to the specific event and promotional purposes expressly authorised by the Company.
3.6. No right of ownership, permanent licence, merchandising right, sublicensing right or other continuing entitlement is granted by virtue of a performance booking.
3.7. Any goodwill arising from the Promoter's authorised use of the Protected Brands shall accrue to the lawful owner of the relevant rights, to the extent permitted by law.
3.8. Permission to use one Protected Brand does not automatically grant permission to use any other Protected Brand.
4. APPROVAL OF NAMES, LOGOS AND PROMOTIONAL MATERIALS
4.1. Use of the Protected Brands, including the Stanton Warriors, Stanton Sessions, Punks Music and Rebel Bass names, logos and related brand assets, for any event or associated commercial activity requires prior written approval from both Mark Yardley and Dominic Butler through the Company's designated approval process.
4.2. Approval must be obtained before the publication, distribution or commercial use of promotional materials bearing any Protected Brand.
4.3. Materials requiring approval include, without limitation:
a. Printed and digital flyers;
b. Festival, club night and event line-up announcements;
c. Posters, banners and advertisements;
d. Social media graphics, videos and promotional campaigns;
e. Ticketing websites and event listings;
f. Press releases, advertising copy and public announcements;
g. Merchandise, clothing and other commercial products;
h. Sponsored content and third-party brand partnerships;
i. Record release promotions, compilation advertising and label showcases;
j. Events or promotions using the Stanton Sessions, Punks Music or Rebel Bass names;
k. Promotional materials combining any Protected Brand with a third-party name, logo or commercial identity.
4.4. The Promoter must submit relevant artwork and promotional wording for approval before publication.
4.5. Approval of one design, event, brand or promotional campaign does not constitute approval of subsequent or altered uses.
4.6. Neither an individual performer nor an external booking agent may independently grant the Promoter permission to use the Protected Brands outside the Company's authorised approval process.
4.7. The Company may require amendment or removal of promotional materials that have not received the necessary approval or which exceed the scope of an agreed licence, where it has the legal right to do so.
4.8. Unauthorised use may result in withdrawal of promotional permission, cancellation or suspension of the engagement where contractually justified, and pursuit of available legal remedies.
4.9. The use of any Protected Brand as an event title, recurring event identity, record label affiliation, promotional partnership or commercial endorsement requires express written authorisation separate from any standard DJ performance booking, unless specifically included in the booking agreement.
5. INDIVIDUAL DJ PERFORMANCES AND ARTIST REPRESENTATION
5.1. Stanton Warriors is a musical partnership comprising founding members Mark Yardley and Dominic Butler. Live DJ appearances may be undertaken by one member on behalf of the act, subject to the relevant booking and brand authorisations.
5.2. Where a performance is undertaken by Dominic Butler individually, the engagement must be clearly authorised as a Stanton Warriors DJ performance through the Company's booking arrangements.
5.3. A solo appearance by either member does not create independent ownership of, or unrestricted commercial rights in, the Stanton Warriors name, the other Protected Brands or their associated intellectual property.
5.4. The Promoter must not represent that both members will appear at an event unless such an appearance has been expressly agreed.
5.5. Where a particular member is advertised as the performing DJ, any applicable billing description shall be approved by the Company.
5.6. An individual artist's acceptance of a performance enquiry does not, of itself, constitute a licence to use the Protected Brands independently of the Company's applicable authorisation requirements.
5.7. The use of Stanton Sessions, Punks Music or Rebel Bass as part of an individual performance's billing, event title or promotional identity shall be subject to separate brand authorisation where required.
6. PERFORMANCE FEES AND BRAND LICENSING
6.1. The agreed performance fee shall be recorded in the written booking confirmation or performance agreement.
6.2. The agreed fee may include both the provision of the DJ performance and a limited licence to advertise the event using the Stanton Warriors name and approved branding.
6.3. The allocation of revenue between performance services, artist remuneration and intellectual-property licensing is a matter for Stanton Warriors Limited and its relevant contractual arrangements.
6.4. No separate or implied right to exploit any Protected Brand arises from payment for an individual performer's services.
6.5. Any use of the Protected Brands for a performance, event, release promotion or commercial activity outside an authorised Company booking requires a separate written licence from the relevant rights holder, including any applicable licensing fee.
6.6. The Promoter shall not knowingly arrange for any fee expressly payable to Stanton Warriors Limited under a confirmed Company booking to be diverted to an unauthorised third party.
6.7. Additional appearances, branded club nights, Stanton Sessions events, Punks Music showcases, Rebel Bass events, advertising partnerships, merchandise, recording rights and broadcast rights may be subject to separate commercial agreements.
6.8. A licence to use the Stanton Warriors name does not automatically authorise the use of Stanton Sessions, Punks Music or Rebel Bass, or vice versa.
6.9. Where more than one Protected Brand is used in connection with an event or promotion, the permitted uses and any associated licence fees must be expressly agreed.
7. PAYMENT TERMS
7.1. Unless otherwise agreed in writing, a deposit of 50% of the total performance fee is payable upon confirmation of the booking.
7.2. The remaining balance shall be payable no later than 14 calendar days before the scheduled performance date.
7.3. Bookings confirmed within 14 days of the event date shall require payment in full upon confirmation, unless otherwise agreed.
7.4. All payments must be made against an official Company invoice into the bank account specified on that invoice.
7.5. No changes to payment instructions shall be valid unless independently confirmed by an authorised Company representative.
7.6. Fees are exclusive of VAT where applicable, unless expressly stated otherwise.
7.7. Where payments become overdue, the Company reserves the right to recover statutory interest and applicable debt-recovery costs under the Late Payment of Commercial Debts (Interest) Act 1998, where legally applicable.
7.8. The Company may suspend performance obligations where material payments remain outstanding, subject to written notice and applicable law.
8. PERFORMANCE ARRANGEMENTS
8.1. The performance date, venue, agreed duration, billing, performance time and any particular artist attendance requirements shall be specified in the booking confirmation.
8.2. The Promoter must provide a professional and safe working environment suitable for the agreed performance.
8.3. Unless otherwise agreed, the standard DJ performance duration shall be confirmed individually for each engagement.
8.4. The Promoter must not materially change the venue, running order, set duration, event format or advertised billing without prior written approval.
8.5. The Company shall use reasonable efforts to ensure the agreed performance is delivered professionally and in accordance with the confirmed arrangements.
9. TECHNICAL AND HOSPITALITY REQUIREMENTS
9.1. The Promoter shall provide professional DJ and sound equipment in accordance with the current technical rider supplied for the booking.
9.2. All equipment must be properly installed, maintained, tested and available for soundcheck where required.
9.3. Any requested substitutions must be agreed in advance.
9.4. The Promoter shall provide appropriate hospitality, secure access to the performance area and reasonable facilities for the performing artist.
9.5. The Promoter shall provide competent technical personnel and adequate security appropriate to the event.
9.6. The Company may decline or interrupt a performance where conditions present a material risk to the artist, audience or equipment.
10. TRAVEL AND ACCOMMODATION
10.1. Travel, accommodation, transfers and associated expenses shall be agreed in the booking confirmation.
10.2. Unless the agreed fee expressly includes these costs, they shall be payable by the Promoter in addition to the performance fee.
10.3. Any travel arrangements made directly by the Promoter must be approved by the Company's authorised booking representative.
10.4. The Promoter shall be responsible for obtaining relevant event permits, permissions and local authorisations, while the parties shall agree responsibility for any artist-specific immigration or work-permit requirements before confirmation.
11. CANCELLATION BY THE PROMOTER
11.1. Any cancellation must be communicated promptly in writing.
11.2. Unless otherwise agreed, the following cancellation charges shall apply as a reasonable pre-estimate of likely losses, subject to applicable law and the Company's duty to mitigate loss where required:
More than 60 days before the event: 25% of the agreed performance fee;
Between 30 and 60 days before the event: 50% of the agreed performance fee;
Between 14 and 29 days before the event: 75% of the agreed performance fee;
Fewer than 14 days before the event: up to 100% of the agreed performance fee, subject to applicable law.
11.3. Any deposit already paid shall be credited towards the applicable cancellation charge. Deposits shall not be automatically forfeited beyond amounts lawfully recoverable under the agreement.
11.4. Any non-refundable travel or accommodation costs reasonably incurred on behalf of the engagement may also be recoverable where agreed and legally permitted, without double recovery.
11.5. Cancellation arising from circumstances beyond the parties' reasonable control shall be dealt with under Section 13.
12. CANCELLATION BY THE COMPANY
12.1. Where a performance cannot proceed due to illness, injury, incapacity or other circumstances materially affecting the performing artist, the Company shall notify the Promoter as soon as reasonably practicable.
12.2. The parties may mutually agree to reschedule the performance.
12.3. Where the Company cancels without a contractual justification and the performance is not rescheduled, fees paid for the unperformed engagement shall be refunded, without prejudice to any other legal rights the Promoter may have.
12.4. The Company may terminate a booking for material breach by the Promoter, including serious non-payment, unsafe conditions or materially unauthorised use of a Protected Brand, where termination is justified under the contract.
13. FORCE MAJEURE
13.1. Neither party shall be liable for failure or delay in performing affected obligations caused by an event beyond its reasonable control, including natural disasters, war, terrorism, government restrictions, major transport disruption or other exceptional circumstances which prevent performance.
13.2. The affected party shall notify the other promptly and take reasonable steps to mitigate the consequences.
13.3. Where possible, the parties shall discuss a mutually acceptable rescheduled date.
13.4. If the performance cannot be rescheduled, the parties shall account fairly for services delivered, recoverable expenses and any refunds required by law or contract.
13.5. Lack of ticket sales, inadequate promotion or ordinary commercial underperformance shall not, by itself, constitute force majeure.
14. RECORDING, BROADCAST AND COMMERCIAL EXPLOITATION
14.1. A live performance booking does not automatically grant permission to record, broadcast, livestream, commercially distribute or otherwise exploit the performance.
14.2. Any professional audio or video recording, broadcast, livestream or subsequent commercial distribution requires separate prior written consent.
14.3. The Promoter is responsible for obtaining any necessary venue, music, performance or third-party copyright licences for its intended uses.
14.4. No recording or footage may be used to imply an endorsement, brand partnership or commercial association beyond the agreed event without express written permission.
14.5. Routine non-commercial audience photography and incidental social-media documentation may be permitted subject to reasonable artist and venue restrictions.
14.6. Use of a Protected Brand in connection with a recording, livestream, broadcast, compilation, podcast, commercially distributed mix or other recorded media requires the appropriate separate rights-holder permission unless expressly included in the booking agreement.
14.7. No permission to exploit the Stanton Sessions album identity, Punks Music label identity, Rebel Bass label identity or associated record label assets is implied by a DJ performance booking.
15. EVENT PROMOTION AND BILLING
15.1. The agreed artist billing shall be stated in the booking confirmation.
15.2. The Protected Brands must be reproduced only in forms approved by the Company.
15.3. The Promoter shall not materially alter, distort, modify, rebrand or combine any Protected Brand logo with other marks without permission.
15.4. The Protected Brands must not be used in a manner suggesting sponsorship, endorsement, partnership or affiliation with a third-party business unless separately authorised.
15.5. All event-specific promotional permissions expire following the event and any reasonably agreed post-event promotional period.
15.6. Past booking history shall not be treated as continuing permission to advertise future performances.
15.7. The Promoter must not advertise an event as a Stanton Sessions, Punks Music or Rebel Bass event, showcase, official party or associated event without prior written authorisation.
15.8. A Stanton Warriors DJ booking does not automatically confer permission to describe an event as an official Stanton Sessions, Punks Music or Rebel Bass event.
15.9. The Promoter must not register domain names, social media accounts, event brands or commercial identities incorporating the Protected Brands in a manner that infringes applicable rights.
16. WARRANTIES AND RESPONSIBILITIES
16.1. The Promoter warrants that it is legally entitled to organise and contract for the event.
16.2. The Promoter shall obtain required venue permissions, licences, insurance and safety arrangements relevant to the event.
16.3. Each party confirms that the person signing or accepting the booking agreement on its behalf has authority to do so.
16.4. The Promoter shall not knowingly misrepresent the identity of the performing artist, the nature of the engagement or the scope of the branding permissions granted.
16.5. Where the Promoter uses any Protected Brand, it must comply with the specific brand licence and approval conditions agreed for that use.
17. LIABILITY
17.1. Neither party excludes liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation or any other liability which cannot legally be excluded.
17.2. Subject to clause 17.1, the Company's aggregate liability arising from the booking shall not exceed the total agreed performance fee, except to the extent such limitation is unenforceable under applicable law.
17.3. Neither party shall be liable for indirect or consequential losses to the extent such exclusion is legally enforceable.
17.4. Nothing in this section restricts rights or remedies relating to intellectual-property infringement, deliberate misuse of confidential information or payment obligations, insofar as the relevant party is legally entitled to enforce them.
18. UNAUTHORISED BOOKINGS AND BRAND USE
18.1. The Promoter acknowledges that a performance by an individual associated with Stanton Warriors does not automatically authorise advertising, billing or selling the event under the Stanton Warriors name or any other Protected Brand.
18.2. Where the Promoter has been notified that an intended use of a Protected Brand lacks necessary rights-holder authorisation, the Promoter must not proceed with that use without resolving the authorisation issue.
18.3. Where an event is arranged independently of Stanton Warriors Limited, the Promoter must obtain an appropriate licence from the relevant rights holder before using protected branding, except where use is otherwise lawful.
18.4. No individual performer, agent, promoter or other third party may independently grant rights in any Protected Brand unless duly authorised by its lawful rights holder.
18.5. The Company reserves the right to take appropriate legal action where it has enforceable rights and an unauthorised booking or promotional activity infringes those rights or breaches an applicable agreement.
18.6. Nothing in these Terms prevents an individual artist from undertaking performances under their own name or another lawfully used artist identity.
18.7. Previous collaborations, appearances, releases, distribution arrangements or associations with Stanton Warriors, Stanton Sessions, Punks Music or Rebel Bass shall not, by themselves, confer continuing rights to use those brands commercially.
18.8. Any party wishing to use a Protected Brand independently of an authorised Company engagement must obtain the relevant written licence before advertising, selling tickets or otherwise commercially exploiting that brand.
19. DATA PROTECTION AND CONFIDENTIALITY
19.1. The parties shall handle personal information obtained in connection with bookings in accordance with applicable data-protection legislation, including the UK GDPR and Data Protection Act 2018 where applicable.
19.2. Non-public commercial terms, confidential financial information and private contact details shall not be disclosed to third parties except where reasonably necessary to fulfil the booking, required by law or agreed by the relevant party.
20. GOVERNING LAW AND DISPUTES
20.1. These Terms and any booking agreement incorporating them shall be governed by the laws of England and Wales.
20.2. The parties shall first attempt to resolve any contractual dispute through good-faith written discussions.
20.3. Subject to any mandatory legal requirements, the courts of England and Wales shall have exclusive jurisdiction over disputes arising from the booking agreement.
21. GENERAL PROVISIONS
21.1. These Terms form part of the booking agreement where expressly incorporated and accepted by the parties before or at the time of contracting.
21.2. Any variation must be agreed in writing by duly authorised representatives of the parties.
21.3. If any provision is found invalid or unenforceable, the remaining provisions shall continue to apply insofar as legally possible.
21.4. Failure to enforce any provision does not automatically constitute a waiver of that provision.
21.5. No person other than a party to the booking agreement shall have rights to enforce its terms under the Contracts (Rights of Third Parties) Act 1999, except where expressly agreed otherwise.
21.6. These Terms, together with the booking confirmation, rider and any expressly incorporated written schedules, constitute the booking agreement. In the event of inconsistency, specifically negotiated and expressly agreed booking terms shall prevail over these standard Terms.
21.7. These Terms may be updated from time to time. Any update shall apply only to bookings that validly incorporate the updated version.
